Dissolve and Close a Company in Thailand
Orderly corporate closure, coordinated across legal, accounting, tax and regulatory workstreams
Closing a Thai company is not achieved by ceasing trade or abandoning filings. The company must be dissolved, its affairs liquidated, its accounts and taxes brought to completion, and the final closure registered with the competent authorities.
One coordinated engagement: shareholder approvals, liquidator appointment, DBD filings, creditor notifications, final accounts and audit, tax closure, VAT cancellation and related licence, employee and immigration matters.
A Controlled Exit, Not an Administrative Afterthought
Protect the interests of shareholders, directors, employees and creditors through a documented closure process with clear responsibility for every workstream.
A Thai limited company remains responsible for corporate, accounting and tax compliance until it is properly dissolved and its liquidation is completed. Dormancy, inactivity or an expired lease does not itself end the legal entity.
The closure should begin with a disciplined review of the company's records, assets, liabilities, contracts, employees, licences, banking arrangements, tax registrations and outstanding filings.
UnionSPACE coordinates the corporate, accounting, audit, tax and administrative elements as a single matter, with scope and dependencies identified before formal filings begin.

Thailand Company Dissolution and Liquidation Process
The sequence below is a high-level guide. The order and documentation may vary according to the company's condition and regulatory profile.
Readiness Review
Confirm corporate records, accounts, taxes, assets, liabilities, employees, licences, bank facilities and unresolved matters.
Corporate Approval
Prepare the required shareholder process, dissolution resolution, meeting records and appointment of the liquidator.
Dissolution Filing & Notices
Register the dissolution, coordinate prescribed notices and begin authority, creditor and stakeholder notifications.
Liquidation & Tax Closure
Deal with assets and liabilities, final accounts, audit, tax filings, VAT cessation and related cancellations.
Completion Registration
Finalise the liquidator's records and register completion once the company's affairs have been fully wound up.
Dissolution and Liquidation Are Not the Same Step
Dissolution records the corporate decision to end the company and places it into liquidation. The company does not simply disappear at that point.
Liquidation is the process of winding up its affairs: collecting and realising assets, identifying and settling liabilities, addressing creditors, completing accounts and taxes, making any lawful surplus distribution and registering completion.
The practical point:
A sound closure plan manages both phases and the dependencies between them.
Key Company Closure Workstreams
A complete closure may involve several authorities and professional disciplines. We identify the applicable workstreams and coordinate them against one timetable.
DBD Filings
Dissolution registration, liquidator records and completion-of-liquidation filings with the Department of Business Development.
Accounts & Audit
Closing ledgers, dissolution-year financial statements, audit coordination and historical remediation where required.
Tax & VAT
Final returns, tax balances, Revenue Department correspondence, VAT cessation and certificate return coordination.
Assets & Creditors
Asset schedules, liability reconciliation, creditor notices, settlement evidence and lawful surplus distributions.
Employees
Payroll closure, employee documentation, severance, social security and related labour-compliance coordination.
Visas & Work Permits
Planning for immigration and work-authorisation consequences linked to employment and company cessation.
BOI & Licences
Separate notification, cancellation or clearance workstreams for BOI privileges and regulated business activities.
Banking & Contracts
Sequencing bank account closure, guarantees, leases, customer and supplier contracts, and document retention.
Primary authorities commonly include the Department of Business Development and the Revenue Department. The authorities, forms and supporting documents required depend on the company's registrations and circumstances.
