Why an Inter-Province Move Is a Different Legal Process — Not Just a Longer Form
Thai company law treats the registered province as a constitutional matter — it is stated in Clause 2 of the Memorandum of Association. Moving to a different province therefore amends that clause, which requires the same process as any other MOA amendment: a special resolution approved by a three-quarters majority of shareholders, an MOA amendment filing, and re-registration at the DBD office in the new province.
The filing must be made at the new provincial DBD office, not the current one. The new office issues the updated affidavit. The Revenue Department and Social Security Office registrations must also be transferred to the corresponding offices in the new province — not simply updated in the old ones.
Attempting an inter-province move with only a same-province filing (Bor Or Jor 4) will be rejected by the DBD. For an inter-province move, the filing is made at the DBD office in the new province — not the current one.
