Three Differences Between a Same-Province and a Different-Province Move

MOA Amendment Required

A same-province move requires only a Bor Or Jor 4 board resolution filing. A different-province move requires an MOA amendment — because the registered province is stated in Clause 2 of the Memorandum of Association. That amendment requires a special shareholder resolution (three-quarters majority), adds to the timeline, and must be completed before the DBD filing can be submitted.

Re-Registration at the New Provincial DBD

For an inter-province move, the filing is made at the DBD office in the new province — not the current one. The new office conducts its own review, issues the updated affidavit, and becomes the company's filing office going forward. The Revenue Department and SSO registrations must also be transferred to the corresponding offices in the new province, not simply updated in the old ones.

Longer Timeline

A same-province change takes 7–10 working days. A different-province change takes 10–15 working days — the additional time reflects the MOA amendment, shareholder execution, and the inter-office transfer process at the DBD. Province Assessment & Document Review

An inter-province move filed using the same-province process (Bor Or Jor 4 only, without MOA amendment) will be rejected by the DBD. We confirm the correct procedure at the outset to avoid wasted time and cost on documents that cannot be accepted.

Special Shareholder Resolution & MOA Amendment Drafting

We draft the special shareholder resolution approving the province change and the MOA amendment updating Clause 2 to reflect the new province. Both documents are sent for review before shareholder execution is coordinated. The resolution must pass the three-quarters majority threshold — we confirm this is achievable from the shareholding structure before the meeting is convened.

Revenue Department & SSO Registration Transfers

We notify the Revenue Department office in the new province to transfer the company's tax registration — updating the tax records and issuing a revised VAT certificate reflecting the new address. We separately transfer the employer registration and employee records to the Social Security Office in the new province. Both run in parallel after DBD re-registration is confirmed.

For an inter-province move, these updates must be made at the agencies in the new province — not the old ones. A company that submits a change-of-address notification to its old Revenue Department area office will not have its records correctly updated for the new province.
