Branch Office / Representative Office
This company structure is a legal subsidiary of a foreign company. The ultimate party responsible for the business in Thailand will be the foreign company
Company under this class receive special exemption and benefits from Thai gov't. They are usually reserved for larger companies.
American citizen or entity can legally owned 100% of company here in Thailand. This benefit is afforded to American according to Treaty of Amity and Economic Relations between the Kingdom of Thailand and the United States of America signed on May 29, 1966.
The Must-Have #3
You need to hold a Non-B Visa and a Work Permit to be able to legally work in Thailand.
Non-B Visa and Work Permit
Non-B Visa is issued by the immigration department and a Work Permit is issued by the Ministry of Labor. This is the only class of Visa that allows a foreigner to work for a Thai company in Thailand.

Hiring a Thai Citizen
It is mandatory to ensure you register your employee with the Social Security Office and it is also mandatory that the employer contribute 50% of the Social Security Contribution

Late submission of your company report or tax filing usually will incur penalty.
Every legal entity in Thailand is suppose to have a proper record of it's business for at least 7 years. It is your duty to provide the said records when requested by the Revenue Department
There are about 5 different Tax Filing that every companies must be aware of. Some of the filing are monthly, some of them is due in the middle of the year and there are some that are due once a year.
