Startup Tax Exemption (SUTE): Qualifying new companies get a 75% exemption on the first S$100,000 of chargeable income and a 50% exemption on the next S$100,000, for their first three Years of Assessment.   • A company secretary, Singapore-resident, appointed within 6 months.
  • A physical Singapore office address — P.O. boxes are not accepted.
  • Correct SSIC industry codes at registration. Banks use these to assess risk, and the wrong classification can stall or block your corporate bank account entirely.
  • Ongoing compliance — annual returns, corporate records, and accounting must stay clean, or you risk penalties and lost incentives.

Where Founders Get It Wrong

The tax incentives aren’t automatic — they depend on structuring correctly from day one.

SUTE has strict conditions. Your company must be incorporated and tax-resident in Singapore (a foreign branch doesn’t qualify), have no more than 20 shareholders, and at least one individual shareholder holding 10%+ of ordinary shares. Get the shareholding structure wrong and you forfeit the exemption entirely.

Timing decides how much you save. Loss-making years still consume one of your three SUTE years, so a long pre-revenue period can burn the window before you turn profitable. Choosing your financial year-end thoughtfully at incorporation can materially increase your total exemption — but only if it’s planned before you register, not after.

Substance counts. If Singapore is part of a regional expansion, management decisions need to genuinely be made from Singapore to support tax residency and withstand scrutiny.

Banking is the real bottleneck. Registration is one thing; getting a corporate bank account approved as a foreign-owned entity is another, and it’s where most delays happen.
